**1. Introduction**

Welcome to Extra Edge ("we", "our", "us"). These Terms and Conditions ("Terms") govern the provision of business consultancy services ("Services") to you ("Client", "you", "your"). By engaging our Services, you agree to comply with and be bound by these Terms.

**2. Services Provided**

2.1. We agree to provide the Services as described in the attached Proposal/Statement of Work.

2.2. The Services may include but are not limited to strategic planning, market analysis, financial advisory, operational improvements, and other consultancy services as agreed upon in writing.

**3. Client Responsibilities**

3.1. You shall provide all necessary information and resources required for us to perform the Services.

3.2. You shall designate a primary contact to liaise with us and facilitate communication.

**4. Fees and Payment**

4.1. The fees for the Services will be as outlined in the Proposal/Statement of Work.

4.2. Invoices will be issued [monthly/bi-weekly/upon completion of milestones] and are payable within [30] days of the invoice date. based on Project work.

4.3. Late payments may incur a late fee of  Rs. 190 per day on the outstanding balance.

**5. Confidentiality**

5.1. Both parties agree to treat all information disclosed during the course of the Services as confidential.

5.2. Confidential information shall not be disclosed to any third party without prior written consent, except as required by law.

**6. Intellectual Property**

6.1. Any intellectual property developed during the course of the Services shall remain the property of Extra Edge.

6.2. You are granted a non-exclusive, non-transferable license to use the deliverables for your internal business purposes.

**7. Limitation of Liability**

7.1. Our liability for any claim arising out of the provision of the Services shall be limited to the amount of fees paid by you for the Services.

7.2. We will not be liable for any indirect, special, or consequential  loss/ damages arising out of or in connection with the Services.

**8. Term and Termination**

8.1. These Terms shall commence on the date you accept our Proposal/Statement of Work and shall continue until the Services are completed or terminated as provided herein.

8.2. Either party may terminate the Services by giving 7 days written notice to the other party.

8.3. We may terminate the Services immediately if you fail to make timely payments or breach any other material terms of these Terms.

**9. Governing Law and Dispute Resolution**

9.1. These Terms shall be governed by and construed in accordance with the laws of Republic of India.

9.2. Any disputes arising out of or in connection with these Terms shall be resolved through negotiation/mediation/arbitration in Pune Maharashtra India.

**10. Miscellaneous**

10.1. These Terms constitute the entire agreement between the parties and supersede all prior agreements or understandings.

10.2. Any amendments to these Terms must be in writing and signed by both parties.

10.3. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

10.4. You may not assign or transfer any rights or obligations under these Terms without our prior written consent.
